12. Governing Law & Dispute Resolution

12.1 Governing Law

This Privacy Policy, the Terms of Service, and any dispute arising out of or related to the Platform shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict-of-law principles.

12.2 Informal Resolution First

  • You agree to provide a written description of the issue and allow us at least thirty (30) days to attempt to resolve it.
  • Both parties agree to act in good faith to resolve disputes efficiently and cost-effectively.

12.3 Binding Arbitration

If a dispute cannot be resolved informally, you and westmichiganhiphop.com via Monk Recordings and Art, LLC agree to resolve any dispute through final and binding arbitration, rather than in court, except as provided below.

  • Arbitration shall be conducted on an individual basis only.
  • Arbitration shall be administered by the American Arbitration Association (AAA) or another mutually agreed arbitration provider.
  • The arbitration shall take place in Michigan, unless otherwise required by law.
  • The arbitrator shall have the authority to award remedies available under applicable law but may not award relief beyond what is permitted by this agreement.

12.4 Class Action Waiver

You and the Company agree that each party may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

  • No arbitration or proceeding may be combined with another without the consent of all parties.
  • If this class action waiver is found unenforceable, the arbitration requirement shall remain in effect to the fullest extent permitted by law.

12.5 Exceptions

  • Either party may bring an individual claim in small claims court if the claim qualifies and remains in that court.
  • The Company may also seek injunctive or equitable relief in a Michigan state or federal court to protect intellectual property, prevent misuse of the Platform, or address unauthorized access.

12.6 Time Limit on Claims

To the extent permitted by law, any claim or cause of action must be brought within one (1) year after the claim arises, or it is permanently barred.

This section survives termination of your account and use of the Platform.
